1. Platform Overview

Apex Pathway is an online learning marketplace that connects students with peer tutors and instructors. Students can browse, purchase, and access courses. Instructors can apply to teach, publish courses, and earn payouts. Platform administrators manage content quality, user accounts, and overall platform operations.

2. Eligibility and Accounts

To use the platform, you must create an account using accurate and complete information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate any account that violates these terms or applicable law.

3. Instructor Terms

If you apply and are approved as an instructor, you agree to the following:

• You are responsible for the accuracy, legality, and originality of all content you upload.
• You must have all necessary rights and permissions to publish your materials, including videos, documents, and other media.
• All courses are subject to review and approval before being published on the platform.
• We may remove or suspend any course that violates our policies, community guidelines, or applicable law.

4. Content and Intellectual Property

Instructors retain ownership of their original course content. By uploading content to the platform, you grant Apex Pathway a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote that content as part of platform operations.

Students receive a limited, personal, non-transferable license to access purchased course content for their own learning purposes only. Reproduction, resale, redistribution, screen recording, or unauthorized sharing of any course content is strictly prohibited and may result in account termination.

5. Payments and Refunds

Course prices are displayed on the platform in the applicable currency. Payments are processed through secure third-party payment providers. By completing a purchase, you authorize the applicable charge.

Refund eligibility is determined by our refund policy and applicable consumer protection laws. Please review our refund policy before making a purchase.

6. Instructor Payouts and Fees

Instructor payouts are subject to applicable platform fees, payment processing fees, verification requirements, and payout eligibility criteria. We may withhold or delay payouts in cases involving suspected fraud, policy violations, pending refunds, chargebacks, or legal requirements.

7. Prohibited Conduct

You agree not to:

• Upload content that is unlawful, infringing, harmful, defamatory, or misleading.
• Attempt to circumvent platform security, access controls, or authentication mechanisms.
• Use automated tools, bots, scrapers, or similar systems to access or abuse the platform.
• Impersonate any person or entity, or create fraudulent accounts.
• Upload viruses, malware, or any other harmful code.
• Engage in any activity that interferes with or disrupts the platform or its infrastructure.

8. Account Suspension and Termination

We reserve the right to suspend, restrict, or permanently terminate your account or access to the platform at our discretion if you violate these terms, if your activity creates legal or security risks, or if required by applicable law or regulatory request. Where possible, we will provide notice before taking action.

9. Third-Party Services

The platform integrates with third-party services for functionality including payments, authentication, content hosting, and communications. Your use of these integrated features may be subject to the respective third-party terms and privacy policies.

10. Disclaimers

The platform and all content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We do not guarantee that the platform will be uninterrupted, error-free, or that any content will meet your specific expectations. We do not guarantee specific academic, career, or financial outcomes from using the platform.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Apex Pathway and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, profits, or goodwill arising out of or related to your use of the platform.

12. Indemnification

You agree to indemnify, defend, and hold harmless Apex Pathway and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the platform, your content, or your violation of these terms.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law provisions, unless otherwise required by the laws of your jurisdiction.
